Welcome to inchambers.ai. These Terms of Service ("Terms") govern your access to and use of inchambers.ai's web application, Microsoft Word add-in, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. Please also review our Privacy Policy and Privacy Architecture.

1. About inchambers.ai

Service Provider: inchambers.ai and all associated rights are owned solely by Pawan Khatri.

Service Description: inchambers.ai is an AI-powered assistant for legal professionals available as a web application and Microsoft Word add-in, providing drafting assistance, corrections, risk assessment, and other AI-powered features across 60+ jurisdictions.

2. Eligibility and Account Registration

2.1 Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts to use the Service. By using the Service, you represent and warrant that you meet these requirements.

2.2 Account Registration

To use certain features of the Service, you must create an account by authenticating through Google OAuth or Microsoft Azure OAuth. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept all responsibility for activity that occurs under your account
• Notify us immediately of any unauthorized access or security breach

2.3 Professional Use

inchambers.ai is designed for use by legal professionals. While we do not restrict access to licensed attorneys only, you acknowledge that the Service provides AI-generated content that should be reviewed by qualified legal professionals before use.

3. Subscription Plans and Payment

3.1 Plans

We offer multiple subscription plans:

• Free Plan: Dynamic weekly request limit with bring-your-own-key (BYOK) or platform-managed DeepSeek R1
• Starter Plan: $150/year for unlimited requests with personal API keys (BYOK)
• Professional Plan: $200/year per seat (1-10 seats) with team collaboration, self-managed keys, and optional Microsoft Azure AI Foundry / Google Vertex AI integration
• Enterprise Plan: Custom pricing with managed AI platform (Microsoft Azure AI Foundry or Google Vertex AI), centralized key management, SSO, and dedicated support

3.2 Billing

Subscription fees are charged on a recurring annual basis. Payments are processed through Stripe, our third-party payment processor. By providing payment information, you authorize us to charge your payment method for all fees incurred.

3.3 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You can cancel your subscription at any time through your account settings.

3.4 Refunds

We offer a 14-day money-back guarantee for first-time subscribers. After this period, subscription fees are non-refundable except as required by law or at our sole discretion.

3.5 Price Changes

We may change subscription prices at any time. Price changes will not affect your current billing period but will apply to subsequent renewals. We will provide at least 30 days' notice of any price changes.

4. Use of the Service

4.1 License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

4.2 Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to the Service or related systems
• Interfere with or disrupt the Service or servers
• Reverse engineer, decompile, or disassemble any aspect of the Service
• Use the Service to transmit viruses, malware, or other harmful code
• Impersonate any person or entity or misrepresent your affiliation
• Share your account credentials with others
• Scrape, crawl, or use automated means to access the Service
• Use the Service to generate content that is defamatory, harassing, or violates third-party rights
• Resell, sublicense, or redistribute the Service without our written permission

4.3 API Keys

You may provide your own API keys for third-party AI services. You are solely responsible for:

• Obtaining and maintaining valid API keys
• Compliance with third-party AI service terms and conditions
• All costs associated with third-party API usage
• Security of your API keys stored on your local device

4.4 Usage Limits

Your use of the Service is subject to the usage limits of your subscription plan. We may suspend or terminate your access if you exceed these limits or abuse the Service.

5. Intellectual Property Rights

5.1 Our Intellectual Property

inchambers.ai and the Service, including all software, text, graphics, logos, and trademarks, are owned by Pawan Khatri. All rights not expressly granted are reserved.

5.2 Your Content

You retain all rights to the content of your Word documents. We do not claim ownership of your documents or the content you create using the Service.

5.3 AI-Generated Content

Content generated by AI features of the Service is provided to you on an "as-is" basis. While you may use AI-generated content, you acknowledge that:

• AI-generated content should be reviewed and edited by qualified professionals
• Similar or identical content may be generated for other users
• We make no warranties regarding the accuracy, completeness, or suitability of AI-generated content

5.4 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, worldwide, royalty-free license to use, modify, and incorporate such feedback without compensation or attribution.

6. Privacy and Data Protection

Your privacy is important to us. Our collection and use of your information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our collection and use of your information as described in the Privacy Policy.

6.1 Document Privacy

We do not access, store, or transmit the content of your Word documents except:

• When you explicitly use AI features that require processing document content
• When content is temporarily transmitted to AI service providers using your API keys
• As required by law or to protect our rights and safety

6.2 Data Security

We implement reasonable security measures to protect your information. However, no system is completely secure. You acknowledge that you provide information at your own risk.

7. Third-Party Services

7.1 Microsoft Office

inchambers.ai is available as a standalone web application and as a Microsoft Word add-in. The Word add-in requires Microsoft Office to function. Your use of Microsoft Office is subject to Microsoft's terms and conditions.

7.2 Authentication Services

We use Google OAuth and Microsoft Azure OAuth for authentication. Your use of these services is subject to Google's and Microsoft's respective terms and policies.

7.3 AI Service Providers

When you use AI features with your own API keys, your use of AI services is subject to the terms and conditions of those service providers. For Professional and Enterprise users, AI requests may be routed through your organization's Microsoft Azure AI Foundry or Google Vertex AI deployment, subject to your organization's agreements with Microsoft Azure or Google Cloud.

7.4 Payment Processing

Payments are processed by Stripe. Your use of Stripe is subject to Stripe's terms and conditions.

We are not responsible for the actions, content, or terms of any third-party services.

8. Disclaimers and Warranties

8.2 Service Availability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• Defects will be corrected
• The Service will meet your requirements
• AI-generated content will be accurate, complete, or reliable
• The Service will be compatible with all systems or configurations

8.3 Jurisdictional Compliance

While inchambers.ai supports legal content across 60+ jurisdictions, we do not warrant that AI-generated content complies with the laws, regulations, or professional standards of any specific jurisdiction. You are responsible for ensuring compliance with applicable laws and professional obligations.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PAWAN KHATRI, OR ITS AFFILIATES, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO:

• Your use or inability to use the Service
• Unauthorized access to or alteration of your data
• Any conduct or content of third parties on or through the Service
• Any AI-generated content or recommendations
• Any professional errors or omissions resulting from use of the Service

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR $100, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless inchambers.ai, Pawan Khatri, and its affiliates, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use or misuse of the Service
• Violation of these Terms
• Violation of any rights of third parties
• Your provision or use of API keys
• Any professional services you provide using content from the Service

11. Term and Termination

11.1 Term

These Terms remain in effect while you use the Service or have an account.

11.2 Termination by You

You may terminate your account at any time by contacting us or using account settings. Termination does not relieve you of any payment obligations for the current billing period.

11.3 Termination by Us

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment of fees
• Extended periods of inactivity
• At our discretion to protect our business interests

11.4 Effect of Termination

Upon termination:

• Your right to use the Service immediately ceases
• We may delete your account and data in accordance with our Privacy Policy
• You remain liable for any outstanding payment obligations
• Provisions that by their nature should survive termination will continue to apply

12. Modifications to the Service and Terms

12.1 Service Changes

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

12.2 Terms Changes

We may revise these Terms from time to time. Changes will be effective immediately upon posting the revised Terms, with an updated "Last Updated" date. Your continued use of the Service after changes constitutes acceptance of the revised Terms.

For material changes, we will provide at least 30 days' notice via email or through the Service.

13. Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law provisions.

13.2 Jurisdiction

Any disputes arising out of or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the competent courts.

13.3 Informal Resolution

Before filing a formal claim, you agree to contact us at legal@inchambers.ai and attempt to resolve the dispute informally for at least 30 days.

13.4 Class Action Waiver

You agree to resolve disputes with us on an individual basis and waive any right to participate in class actions or class arbitrations.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and inchambers.ai regarding the Service.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign or transfer these Terms without restriction.

14.5 Force Majeure

We shall not be liable for any failure to perform our obligations where such failure results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

14.6 Export Controls

You agree to comply with all applicable export and import control laws and regulations in your use of the Service.

14.7 Microsoft Office Add-in Compliance

inchambers.ai complies with Microsoft Office Add-in Store requirements. We access document content only as necessary to provide requested features and do not use document content for advertising or unauthorized purposes.
